- Membership Application
APIC WORLDWIDE Membership is strictly controlled and monitored. Membership of APIC WORLWIDE not only helps in the protection of your intellectual property, but places you in an ethical organization that is unequalled anywhere on the Internet. By displaying our emblem proudly, you send a message to the Internet community that doing business with you is doing business with an ethical and professional business. Membership fees are due on application and then annually on 1st January each year. Membership fees are pro-rated by calendar year and are upgradable if desired. There are different levels of membership as follows;
GENERAL
MEMBERSHIP To apply for APIC WORLDWIDE Membership please complete the form below and submit it to us. We will contact if we require further information.
TERMS 1. This Agreement is made between APIC WORLDWIDE (A-W) and Member.
2. The term of this Agreement is for a one-year period from the date of receipt of Member’s payment by A-W. This Agreement may be terminated by either party for any reason or no reason upon 30 day written notice of termination. In the event that Member terminates the Agreement, Member’s payment to A-W will not be refunded.
3. Member hereby represents, warrants and covenants that A-W is authorized to conduct investigative audits on Member’s website(s) at any time. Member must provide current and updated user name(s), access codes or passwords as requested, as well as VALIDATION OF CONTENT LEGALITY. Any site found in violation of membership criteria of legitimate site content will be subject to membership termination and dues forfeiture. MEMBER MUST PROVIDE ALL ABOVE REQUESTED INFORMATION FOR ALL WEBSITES OR CONTENT MEDIUM OWNED BY MEMBER.
4. Member agrees to notify A-W regarding all changes to member sites including content providers, custodian of records, website format changes, ISP and administrative changes.
5. Member agrees to indemnify and hold A-W and its officers, directors, shareholders, employees and agents (the “Indemnified Parties”) harmless from any and all claims, causes of actions, damages, fees or expenses arising from the services provided by A-W. In the event that a claim is asserted against the Indemnified Parties, or any of them, that arises in whole or in part from the services rendered by A-W, Member will provide the Indemnified Parties with a legal defense at Member’s sole expense.
6. Member hereby acknowledges that membership is nontransferable.
7. Member has engaged A-W for the purpose of investigating infringement, including sending notices of alleged infringement and follow-up correspondence. However, Member specifically acknowledges that A-W is an independent contractor. No agency or employment relationship is or will be created by the rendering of services by A-W, and no employee, agent, or individual otherwise affiliated with A-W shall be an employee or agent of Member.
8. Member acknowledges that A-W has made no guarantee or promise as to the outcome of any representation or the rendering of any services. A-W’s comments about the outcome of Member’s matters are expressions of opinion only, and that A-W and/or it's acting agents are not attorneys, do not practice law, and do not offer any legal advice commercially or otherwise. A-W has a right to publish legal issues and laws as they pertain to the issues of interest.
9. Member’s sole recourse for any failure of services rendered by A-W to meet any standards of performance or adequacy shall be to provide notice of termination as set forth above, and Member waives and releases any claims or causes of action arising from such failure except any claims or causes of action arising from willful misconduct.
10. Member hereby represents and warrants that Member has the right and authority to enter into this Agreement. Member shall hold harmless and indemnify A-W and the successors, licenses, assigns, shareholders, directors, officers, agents and employees of A-W from and against any claim, action, liability, settlement, judgment, loss or damage, including reasonable attorney’s fees, which such party may suffer or incur by reason of the breach of any of the representations, warranties or covenants made by Member in this Agreement.
11. A-W and Member agree that any dispute arising between them will be resolved by binding arbitration. A-W and Member elect Broward County, Florida as the exclusive forum for arbitration, waive all objections to personal jurisdiction in Florida for purposes of arbitration under this Agreement and waive the right to arbitrate elsewhere in connection with any claim arising under this Agreement. The prevailing party in any arbitration will be entitled to recover its reasonable attorneys’ fees and actual costs.
12. Member hereby represents, covenants and warrants that Member is eligible for the membership as defined above, and that it will abide by A-W rules and regulations as stated hereinabove and as published from time to time by A-W.
13. This Agreement sets forth the entire agreement between the parties with respect to the subject matter hereof. No modification, amendment, waiver, termination or discharge of this Agreement or any provision hereof shall be binding unless confirmed by a written instrument executed by the party sought to be charged.
